TERMS AND CONDITIONS FOR COMPANIES

THE WEBSITE "SPOTAJOB.COM" IS PROVIDED BY ORANGE DOGS MEDIA B.V. SPOTAJOB HAS THE AIM TO PUT COMPANIES AND JOBSEEKERS IN CONTACT WITH EACH OTHER VIA A JOBSITE. THE SERVICE WHICH SPOTAJOB OFFERS COMPANIES VIA THE WEBSITE "SPOTAJOB.COM" IS GOVERNED TO THE FOLLOWING TERMS AND CONDITIONS. THE COMPANY MUST READ THE TERMS AND CONDITIONS OF THIS AGREEMENT BEFORE THE COMPANY MAY USE THE SERVICE. BY USING THE SERVICE COMPANY AGREE TO BE BOUND TO THE TERMS AND CONDITIONS MENTIONED BELOW, WHICH CAN BE REVISED BY US ANY TIME.
IF YOU AS A COMPANY DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT USE THE SERVICE.

ARTICLE 1 DEFINITIONS

The terms mentioned below have the following meaning in these general terms and conditions:
"Agreement" : this agreement (including revisions) concerning the use of the website and the offered services;
"Reward" : the amount promised by you as a company as a reward for finding the right candidate for a certain job opening;
"SpotAJob" : SpotAJob Online registered as Orange Dogs Media B.V., a company with limited liability under Netherlands law in Amsterdam, Chamber of Commerce registration number: 32117028;
"Registration form" : the form company needs to fill in to be able to place a job opening;
"Service" : the possibility provided by SpotAJob to company to place job openings on the SpotAJob website, to receive resumes and to keep up with the status of a job opening online;
"Company" : you, the company which uses the SpotAJob service; and
"Website" : the "SpotAJob" website located on www.spotajob.com.

ARTICLE 2 REGISTRATION

1.To be able to place job openings on the website, to receive resumes and to keep up with the status of a job opening online, you are required to register on the website as a company. Company must go through the registration procedure on www.spotajob.com.
2.To get access to the service, company must go through the registration procedure where company provides us true, precise, up-to-date and complete information about itself as asked for in the registration form.
3.It is the responsibility of the company to notify SpotAJob of modifications in its registration information.
4.Company is completely self responsible for the security and precise use of all usernames and passwords registered by company and for all activities carried out by means of its account(s). Company agrees to notify SpotAJob immediately of any unauthorised use of the registration of the company or any other violation of security.
5.Company must directly contact SpotAJob in case of forgetting or losing a password or username and cooperate with the security measures which SpotAJob uses standard in such case.
6.SpotAJob can not be held liable for any loss or damage resulting from the fact that company failed to respect the provisions of article 2.
7.In case company provides information which is not true, up-to-date or complete, or in case SpotAJob has a reasonable presumption that provided information is not true, up-to-date or complete, SpotAJob has the right to suspend or terminate the registration and to exclude the company for current or future use of the service.

ARTICLE 3 PLACING JOB OPENINGS

1.Company can place job openings directly after registration. However, SpotAJob will first contact the company to make acquaintance and to check the job posting as regards content before the job opening will appear on the site. Company agrees to aforementioned working method.
2.After the internal check it is possible to place your company profile and logo at the job opening. Under no condition can SpotAJob be held liable for possible technical problems and/or shortcomings in mentioned profile and/or logo.
3.If the company places three successive job openings in which nothing needed to be modified according SpotAJob, than changes the status of the company and will following job postings directly become on the website. However, SpotAJob, remains the right to turn this situation back.
4.SpotAJob reserves at all times the right, without reasons given, to reject a job posting or remove a job posting from the site.

ARTICLE 4 REWARD

1.By placing a job opening, company is obliged to offer a reward. This reward has to be paid at the moment the job opening actually is fulfilled through the service of SpotAJob.
2.Company agrees to a reward with a minimum of € 1000,-.
3.SpotAJob will only earn money if the job posting has been fulfilled. Company agrees to the fact that SpotAJob will charge company 25 %, with a minimum of € 1000,-, of the reward on top of the reward and that mentioned 25 %, with a minimum of € 1000,-, of the reward goes to SpotAJob.
4.SpotAJob is at all times entitled to modify mentioned percentage of the reward. When aforementioned occurs, SpotAJob will immediately make mention of this on the website. Job openings placed on the website before this mention, will be invoiced according to the then current percentage.

ARTICLE 5 FULFILLED JOB POSTING

1.When the company has found the right candidate, company is obliged to indicate this as soon as possible in the status of the job posting.
2.As from the moment of fulfilling the job posting, company is obliged to pay out the offered reward to SpotAJob.
3.SpotAJob daily keeps up with the statuses of the job postings and will direct contact company if the job posting is fulfilled to put the financial settlement into operation.
4.To be able to fulfil the financial settlement, company is obliged to give up its VAT number to SpotAJob.
5.SpotAJob will send the company as soon as possible an invoice. This invoice will consist of the offered reward plus 25 % of that reward plus VAT.
6.Company is obliged to pay the mentioned invoice within 14 days after invoice date.

ARTICLE 6 WITHDRAW OR CLOSE A JOB POSTING

1.Company may withdraw its job opening(s) at all times, provided that there are no application procedures running anymore. Company is obliged in such case to put the status of the job opening on "withdrawn".
2.Company is allowed to place its job opening(s) on the website of SpotAJob for 60 days (day 1 is the day on which the job opening is dated). Company can chose between two options, when this period of 60 days expires but no right candidate has been found yet. Company can increase the reward with a minimum of 25 % as a result of which the job opening may stay online another 30 days, or company agrees to the fact that SpotAJob closes the job posting.

ARTICLE 7 RESUME

1.Company agrees to deal discretely with the received resumes. Company will observe the provisions of the relevant privacy legislation.
2.Company agrees hereby to only use the received resumes internal. This means in any case that it is not allowed to forward the received resumes to third parties or refer candidates to third parties.
3.Under no circumstances SpotAJob can be held liable for the content of the resumes or related damage or loss.
4.All resumes received by company will be stored carefully.

ARTICLE 8 WARRANTY DISCLAIMER

DTHE SERVICE IS PROVIDED "AS IS" AND "AS AVAIBLE" AND SPOTAJOB OFFERS NO WARRANTIES EXPRESS OR IMPLIED, CONCERNING THE SERVICE, INCLUDING BUT NOT LIMITED TO INVOLVED WARRANTIES OR CONDITIONS WITH RESPECT TO COMPLETENESS, ACCURACY, SUFFICIENT QUALITY AND SUITABILITY FOR A CERTAIN AIM.
COMPANY ACKNOWLEDGES AND AGREES: (a) THAT IT IS TECHNICALLY IMPOSSIBLE TO OFFER THE SERVICE ERROR FREE AND SPOTAJOB IS NOT OBLIGED TO DO SO; (b) THAT ERRORS CAN LEAD TO TEMPORARILY UNAVAILIBILITY OF THE SERVICE; (c) THAT RESULTS PROVIDED BY THE USE OF THE SERVICE MAY CONTAIN INACCURACIES OR TYPING MISTAKES; AND (d) THAT THE FUNCTIONING OF THE SERVICE CAN BE INFLUENCED NEGATIVELY BY CIRCUMSTANCES AND FACTORS ON WHICH SPOTAJOB HAS NO INFLUENCE, INCLUDING, BUT NOT LIMITED TO, TELECOMMUNICATION CONNECTIONS BETWEEN SPOTAJOB AND USERS, BETWEEN SEVERAL AFFILIATES OF SPOTAJOB AND BETWEEN SPOTAJOB AND OTHER SYSTEMS AND NETWORKS.
AT THE SAME TIME COMPANY ACKNOWLEDGES AND AGREES THAT CERTAIN INFORMATION, FOR EXAMPLE SOFTWARE, WILL BE PROVIDED TO SPOTAJOB BY THIRD PARTIES AND THAT SPOTAJOB CONSEQUENTLY CAN NOT OFFER ANY KIND OF WARRANTY CONCERNING SUCH INFORMATION.

ARTICLE 9 LIMITATION OF LIABILITY

COMPANY ACKNOWLEDGES AND AGREES THAT SPOTAJOB CAN NOT BE HELD LIABLE ON THE BASIS OF AGREEMENT, UNLAWFUL ACTION, ABSENCE, LEGAL DUTY OR ON ANY OTHER GROUNDS FOR LOSS OR DAMAGE OF ANY KIND WHICH ARISE OUT OF OR ARE IN ANY WAY RELATED TO THE USE OR FUNCTIONALITY OF THE SERVICE OR RELATED WEBSITES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS ON COMPANY ACTIVITIES, LOST PROFITS, DISCONTINUANCE OF COMPANY ACTIVITIES, LOSS OF COMPANY INFORMATION OR ANY OTHER FORM OF FINANCIAL DAMAGE (EVEN IF SPOTAJOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

ARTICLE 10 COMPANY"S BEHAVIOUR

1.Company is not allowed to use this service:
(a) for any illegal matters;
(b) in any way that leads to the situation that the service will be interrupted, damaged, become less efficient or that the functionality of the service will be damaged in any way;
(c) for spreading, sending or uploading of computer viruses or any other detrimental files or programmes;
(d) for spreading, sending or uploading of material that is defamatory, offensive, obscene, or threatening of nature, or can lead by any other reason to irritation, inconvenience or unnecessary disorder;
(e) on a manner which forms a infestation of or breaches the rights of any natural person or legal identity (including, but not limited to, copyrights or the right of confidentiality);
(f) for creating a false identity with the intention to mislead others concerning the identity of the sender or the origin of a message; and
(h) for spreading, sending, uploading, e-mailing, or any other manner of making available of unasked or unlawful advertisement, promotion material, "junkmail", "spam", chain letters, pyramid games, or any other duplicative or undesirable messages.
2.However, SpotAJob does not control the content which arrives on the service via the users and can therefore not give any warranty concerning the accuracy, integrity or quality of such content. By using the service company acknowledges and agrees that company may be confronted with content of offensive or inadmissible nature. SPOTAJOB DOES NOT ACCEPT ANY LIABILITY FOR ANY CONTENT OR ANY DAMAGE RESULTING OF THE USE OF THE CONTENT WHICH IS SEND OR E-MAILED TO THE SERVICE OR IS SPREAD BY ANY OTHER MANNER VIA THE SERVICE.
3.Company acknowledges and agrees that SpotAJob does not control or check in advance the content which will be placed and spread via the users of the service on the website, but that SpotAJob has the right (but not the duty) to refuse or remove content which is available via the service.

ARTICLE 11 INDEMNIFICATION

In case company has a claim with respect to an other user resulting from the use of the service, company will hold SpotAJob harmless and will pursue the claim independently of SpotAJob. Company shall indemnify, defend and hold SpotAJob harmless from and against any and all claims, damages, costs, expenses, including legal costs, relating to or arising out of any breach or violation of this agreement or any other use of the service, the information or the website by company. Company acknowledges and agrees that SpotAJob does not control the nature of the content of the information which will be sent or received by the company who uses the service and that SpotAJob in no manner examines where the company uses the service for. Company agrees to completely indemnify SpotAJob from all claims and judicial steps brought or asserted by any other person against SpotAJob resulting from the use of the service by company.

ARTICLE 12 INTELLECTUAL PROPERTY

Company recognizes that all copyrights, trade marks and all other intellectual property rights part of the service, which are and will become in possession of SpotAJob, remain in possession of SpotAJob or its licensors.

ARTICLE 13 SUSPENSION AND TERMINATION

SpotAJob has the right to directly terminate this agreement and/or suspend the service if the company breaches any of these terms and conditions.

ARTICLE 14 PRIVACY POLICY

The personal information company provides to SpotAJob will only be used in accordance with the terms and conditions of our Privacy statement. These general terms and conditions do not apply to the websites of third parties.

ARTICLE 15 THIRD PARTIES

Company understands, acknowledges and agrees the fact that there may be links on the website which can lead to sources hosted by independent third parties on which SpotAJob has no authorization or control. That is why SpotAJob does not accept any responsibility or liability for the material on these servers.

ARTICLE 16 MODIFICATIONS CONCERNING THE TERMS AND CONDITIONS AND THE SERVICE

SpotAJob reserves the right to modify these terms and conditions from time to time by publishing the revised terms and conditions on this webpage. The continued use of the service shall constitute acceptance by the company to be bound by such revised terms and conditions. It is company"s responsibility to check this agreement frequently to keep abreast of any changes. If the company does not agree to the revised terms and conditions of this agreement, company must immediately quit using the service. At the same time SpotAJob reserves the right to actualise or otherwise adjust the service from time to time.

ARTICLE 17 SEVERABILITY

Each provision of this agreement which excludes or limits liability, must be interpreted separately, even applies if for any reason one or more of these provisions are considered as invalid or unenforceable in certain circumstances and will remain effective in spite of termination of this agreement.

ARTICLE 18 DECLARATION OF DISTANCE

Not any declaration of distance of SpotAJob will be interpreted as a declaration of distance with respect to a preceding or next violation on any provision.

ARTICLE 19 GOVERNING LAW

This agreement is governed by the laws of The Netherlands and parties agree to submit to the exclusive jurisdiction of the competent court in The Netherlands.

THE SERVICE WHICH SPOTAJOB OFFERS YOU VIA THE WEBSITE 'SPOTAJOB.COM' IS GOVERNED TO THE FOLLOWING TERMS AND CONDITIONS. YOU MUST READ THE TERMS AND CONDITIONS OF THIS AGREEMENT BEFORE YOU MAY USE THE SERVICE. BY USING THE SERVICE YOU AGREE TO BE BOUND TO THE TERMS AND CONDITIONS MENTIONED BELOW, WHICH CAN BE REVISED BY US ANY TIME.

"Refer" : to upload and send a resume of a right candidate via the website of SpotAJob to a company;
"Service" : to provide the user access to the database with job openings and the possibility to apply, refer candidates and/or forward job openings;
"User" : you, the end user of the service (in these terms and conditions 'user' refers to both male and female user); and
"Website" : the 'SpotAJob' website located on www.spotajob.com.

ARTICLE 2 REGISTRATION

1.Visitor of the website does not have to register to access the database with job openings.
2.To be able to apply, refer candidates and/or forward job openings, you are required to register on the website as a user. User must go through the registration procedure on www.spotajob.com.
3.To get access to the service, user must go through the registration procedure where he provides us true, precise, up-to-date and complete information about himself as asked for in the registration form.
4.It is the responsibility of the user to notify SpotAJob of modifications in his registration information.
5.User is completely self responsible for the security and precise use of all usernames and passwords registered by user and for all activities carried out by means of his accounts. User agrees to notify SpotAJob immediately of any unauthorised use of the registration of the user or any other violation of security.
6.User must directly contact SpotAJob in case of forgetting or losing a password or username and cooperate with the security measures which SpotAJob uses standard in such case.
7.SpotAJob can not be held liable for any loss or damage resulting from the fact that user failed to respect the provisions of article 2.
8.In case user provides information which is not true, up-to-date or complete, or in case SpotAJob has a reasonable presumption that provided information is not true, up-to-date or complete, SpotAJob has the right to suspend or terminate the registration and to exclude the user for current or future use of the service.

ARTICLE 3 RESUME

1.When user wants to refer a candidate user can upload candidate's resume as MS Word, PDF, HTML, Flash, *.zip or *.txt document and send it to the company linked to the job posting, after permission of named candidate.
2.User is self responsible for the content of resumes uploaded from his account. SpotAJob can never be held liable for the content of resumes or related damage of loss.
3.SpotAJob will save and store carefully all resumes uploaded in the site of SpotAJob. SpotAJob will not use the stored resumes for other goals than the offered service.
4.User acknowledges and agrees that SpotAJob can not be held responsible for the behaviour of employers concerning sent resumes.

ARTICLE 4 REWARD

1.User is entitled to receive the reward if a candidate referred by him or to who he forwarded the job posting, actually is been hired.
2.User explains in these to agree to the layered reward system (reward will be divided between different users). The layered reward system does arise for example in the following manners. First, when a hired candidate is referred by more than one user. Second, when user forwarded a job posting to a friend and this friend forwarded the job opening again to another person who finally is hired. In both cases, the reward must be shared between the different links.
3.User is never entitled to claim the reward if he informed the candidate about the job opening by using a different manner than the forward or refer system per e-mail of SpotAJob. For example by calling the candidate.
4.The reward will be paid at the moment SpotAjob received the reward on its bank account. That is why the payment to user can only take place after the company fulfilled its financial requirements. User hereby agrees to never hold SpotAJob liable for not paying the reward by the company.
5.If a candidate is hired, the user who has the right to receive (a part of) the reward will be asked for his bank details via e-mail. It is user's responsibility to provide named details as soon as possible to SpotAJob.
6.If user did not receive an e-mail from SpotAJob, but the status of his job opening changed already in fulfilled, he must undertake action via the button 'claim reward'.
7.User will not receive the reward when there is a match from a direct application. This means that an user who applies directly and actually gets hired, will not receive the reward.
8.The reward must be considered as a conciliation fee. Fiscally the reward falls under 'remaining income of labour'. SpotAJob can in no manner be held liable for not fulfilling this obligation.

ARTICLE 5 REFER

1.User can refer a maximum of 3 persons per job opening. SpotAJob established this rule to guard against arbitrariness. User hereby agrees to only select candidates who fit well at the defined profile.
2.User agrees to act discreet concerning forwarding job openings to and refer candidates from user's direct work surroundings. User must behave towards its employer such as a good employee becomes.
3.SpotAJob can not be held liable for users actions accomplished under his own authority.
4.User acknowledges and agrees that under no circumstances there will arise a labour relation between user and SpotAJob.

ARTICLE 6 WARRANTY DISCLAIMER

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAIBLE" AND SPOTAJOB OFFERS NO WARRANTIES EXPRESS OR IMPLIED, CONCERNING THE SERVICE, INCLUDING BUT NOT LIMITED TO INVOLVED WARRANTIES OR CONDITIONS WITH RESPECT TO COMPLETENESS, ACCURACY, SUFFICIENT QUALITY AND SUITABILITY FOR A CERTAIN AIM.
USER ACKNOWLEDGES AND AGREES: (a) THAT IT IS TECHNICALLY IMPOSSIBLE TO OFFER THE SERVICE ERROR FREE AND SPOTAJOB IS NOT OBLIGED TO DO SO; (b) THAT ERRORS CAN LEAD TO TEMPORARILY UNAVAILIBILITY OF THE SERVICE; (c) THAT RESULTS PROVIDED BY THE USE OF THE SERVICE MAY CONTAIN INACCURACIES OR TYPING MISTAKES; AND (d) THAT THE FUNCTIONING OF THE SERVICE CAN BE INFLUENCED NEGATIVELY BY CIRCUMSTANCES AND FACTORS ON WHICH SPOTAJOB HAS NO INFLUENCE, INCLUDING, BUT NOT LIMITED TO, TELECOMMUNICATION CONNECTIONS BETWEEN SPOTAJOB AND USERS, BETWEEN SEVERAL AFFILIATES OF SPOTAJOB AND BETWEEN SPOTAJOB AND OTHER SYSTEMS AND NETWORKS.
AT THE SAME TIME USER ACKNOWLEDGES AND AGREES THAT CERTAIN INFORMATION, FOR EXAMPLE SOFTWARE, WILL BE PROVIDED TO SPOTAJOB BY THIRD PARTIES AND THAT SPOTAJOB CONSEQUENTLY CAN NOT OFFER ANY KIND OF WARRANTY CONCERNING SUCH INFORMATION.

ARTICLE 7 LIMITATION OF LIABILITY

USER ACKNOWLEDGES AND AGREES THAT SPOTAJOB CAN NOT BE HELD LIABLE ON THE BASIS OF AGREEMENT, UNLAWFUL ACTION, ABSENCE, LEGAL DUTY OR ON ANY OTHER GROUNDS FOR LOSS OR DAMAGE OF ANY KIND WHICH ARISE OUT OF OR ARE IN ANY WAY RELATED TO THE USE OR FUNCTIONALITY OF THE SERVICE OR RELATED WEBSITES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS ON COMPANY ACTIVITIES, LOST PROFITS, DISCONTINUANCE OF COMPANY ACTIVITIES, LOSS OF COMPANY INFORMATION OR ANY OTHER FORM OF FINANCIAL DAMAGE (EVEN IF SPOTAJOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

ARTICLE 8 USER'S BEHAVIOUR

(f) for creating a false identity with the intention to mislead others concerning the identity of the sender or the origin of a message; and
(h) for spreading, sending, uploading, e-mailing, or any other manner of making available of unasked or unlawful advertisement, promotion material, "junkmail", "spam", chain letters, pyramid games, or any other duplicative or undesirable messages.

User recognizes that all copyrights, trade marks and all other intellectual property rights part of the service, which are and will become in possession of SpotAJob, remain in possession of SpotAJob or its licensors.
ARTICLE 11 SUSPENSION AND TERMINATION
SpotAJob has the right to directly terminate this agreement and/or suspend the service if the user breaches any of these terms and conditions.

ARTICLE 12 PRIVACY POLICY

The personal information user provides to SpotAJob will only be used in accordance with the terms and conditions of our Privacy statement. These general terms and conditions do not apply to the websites of third parties.

ARTICLE 13 THIRD PARTIES

User understands, acknowledges and agrees the fact that there may be links on the website which can lead to sources hosted by independent third parties on which SpotAJob has no authorization or control. That is why SpotAJob does not accept any responsibility or liability for the material on these servers.

ARTICLE 14 MODIFICATIONS CONCERNING THE TERMS AND CONDITIONS AND THE SERVICE

SpotAJob reserves the right to modify these terms and conditions from time to time by publishing the revised terms and conditions on this webpage. The continued use of the service shall constitute acceptance by the user to be bound by such revised terms and conditions. It is user's responsibility to check this agreement frequently to keep abreast of any changes. If the user does not agree to the revised terms and conditions of this agreement, he must immediately quit using the service. ARTICLE 15 SEVERABILITY

Each provision of this agreement which excludes or limits liability, must be interpreted separately, even applies if for any reason one or more of these provisions are considered as invalid or unenforceable in certain circumstances and will remain effective in spite of termination of this agreement.

ARTICLE 16 DECLARATION OF DISTANCE

Not any declaration of distance of SpotAJob will be interpreted as a declaration of distance with respect to a preceding or next violation on any provision.

ARTICLE 17 GOVERNING LAW

This agreement is governed by the laws of The Netherlands and parties agree to submit to the exclusive jurisdiction of the competent court in The Netherlands.
