Description
Our client is an independent, locally owned fiduciary provider with a long-standing reputation in Guernsey. They are looking for a Company Secretary to manage corporate administration and compliance tasks. The role suits an ambitious professional who is still developing their skills in corporate governance and wants genuine autonomy while working alongside senior leadership. While the ideal baseline is five years of experience, the client is flexible and will readily consider candidates with less tenure who possess strong foundational knowledge.
Key Responsibilities
• Corporate Governance & Compliance: Ensure compliance with Guernsey company law and relevant regulatory requirements. Maintain statutory registers, annual validations, and regulatory filings for internal and client entities.
• Board & Committee Support: Organize internal board and committee meetings, prepare agendas, and collate board papers. Attend meetings to take minutes, circulate drafts, and track post-meeting action points through to completion.
• Registry Management: Act as the primary contact for the Guernsey Registry, handling surveys, preparing documentation for upcoming registry visits, and updating internal registry policies.
• Entity Administration & Onboarding: Support the onboarding of new clients and the formation of new entities. Manage corporate changes regarding directors, shareholders, and beneficial ownership.
• Internal Liaison: Provide guidance to employees on basic company secretarial matters and work closely with legal, compliance, and client-facing teams to ensure seamless operations.
Qualifications and Experience
• A relevant professional qualification in corporate governance or law, or progress toward one (such as CGI/ICSA or STEP).
• Previous experience within a company secretarial or trust administration environment, backed by a practical understanding of Guernsey company law.
• Strong organizational skills and the ability to manage multiple regulatory deadlines effectively.
• Clear communication skills with a precise approach to drafting minutes and corporate resolutions.
• Proficiency in Microsoft Office applications.
