Headquartered in Guernsey with offices across several jurisdictions, the organisation works with a diverse client base including high-net-worth individuals, families, corporate institutions and asset managers. Role
This is a key appointment within the group’s governance function, with flexibility to appoint at Assistant Manager, Manager or Senior Group Company Secretary level depending on experience.
The successful candidate will support or lead the oversight of the governance framework and company secretarial matters across the group’s global operations. Working closely with the Group CEO, Board of Directors and senior management, the role will ensure the highest standards of corporate governance and regulatory compliance are maintained across multiple jurisdictions.
Key responsibilities
• Advise the Board, Board Committees and senior management on corporate governance and regulatory requirements
• Provide governance support for Board and Committee meetings, including agendas, board papers and minutes
• Maintain statutory registers and oversee statutory filings for group entities
• Ensure compliance with corporate governance frameworks and financial services regulations
• Maintain authorised signatory lists, structure charts and corporate records
• Manage governance calendars and coordinate activities across jurisdictions
• Support corporate transactions including restructures, acquisitions or other strategic initiatives
• Coordinate shareholder communications and general meetings
• Work closely with legal, risk and compliance teams to manage governance risks
• Depending on level, lead or support the company secretarial function
Person specification
• Relevant professional qualification such as CGI / ICSA or equivalent
• Experience within a company secretarial or governance role in financial services
• Strong knowledge of Guernsey Company Law and governance practices
• Understanding of offshore funds and regulatory frameworks
• Experience supporting Board and Committee operations
• Strong organisational, communication and stakeholder management skills
• Professional, proactive and adaptable approach
