Description

Operating within a fast-paced and growing environment, this standalone Company Secretary role sits at the heart of the group’s governance and compliance functions. With new ownership and a strategic focus on transformation, the business offers a collaborative and ambitious culture. This role is at Assistant Manager (Junior Manager) level.

Key Responsibilities:
• Provide governance and company secretarial support to the Group Board and committees.
• Ensure compliance with statutory, regulatory and governance requirements across multiple jurisdictions.
• Manage statutory records, group structure charts, authorised signatory lists and CDD.
• Prepare agendas, board packs, minutes and action trackers for board and committee meetings.
• Assist with corporate transactions such as M&A, restructuring, and fundraising.
• Coordinate statutory filings and regulatory submissions for group companies.
• Support shareholder communications and organise AGMs/EGMs.
• Contribute to the development of internal policies and governance frameworks.

What You Need:
• ICSA Chartered Governance Professional (or equivalent) qualification.
• Minimum 5 years’ experience in a company secretarial role within financial services.
• Strong knowledge of Guernsey company law and governance best practices.
• Experience working within cross-jurisdictional or group structures.
• High attention to detail, strong organisational and communication skills.
• Ability to operate autonomously in a dynamic and evolving business.
