Description

Our client is a leading international provider of fund administration, private client and corporate services. Headquartered in Guernsey with offices across several jurisdictions, the organisation works with a diverse client base including high-net-worth individuals, families, corporate institutions and asset managers. Following recent strategic developments and a new ownership structure, the group is continuing its growth journey with a strong focus on governance, technology investment and operational excellence.

Role
This is a senior appointment responsible for overseeing the governance framework and company secretarial matters across the group’s global operations. The successful candidate will work closely with the Group CEO, Board of Directors and senior management, ensuring the group maintains the highest standards of corporate governance and regulatory compliance across multiple jurisdictions.
The role also involves managing Board operations, coordinating shareholder communications and supporting the group on strategic corporate initiatives and governance-related matters.

Key responsibilities
• Advise the Board, Board Committees and senior management on corporate governance, regulatory requirements and fiduciary duties
• Provide governance support for Board and Committee meetings including agendas, board papers, minutes and action tracking
• Maintain statutory registers and oversee statutory filings for Guernsey group companies
• Ensure compliance with corporate governance frameworks, financial services regulations and corporate law
• Maintain authorised signatory lists, structure charts and group corporate records
• Manage the corporate calendar and coordinate governance activities across group entities
• Support corporate transactions including mergers, acquisitions, restructuring or fundraising activities
• Manage shareholder communications and coordinate Annual General Meetings and Extraordinary General Meetings
• Work closely with legal, risk and compliance teams to manage regulatory and governance risks
• Lead the company secretarial function and provide governance expertise to senior leadership and operating companies
Person specification
• Relevant professional qualification such as ICSA / Chartered Governance Professional (CGP) or equivalent
• Minimum of seven years’ experience in a similar company secretarial or governance role within financial services
• Strong knowledge of Guernsey Company Law and company secretarial practices
• Understanding of offshore funds, regulatory frameworks and governance requirements
• Experience supporting Board and Committee operations at a senior level
• Strong organisational, communication and stakeholder management skills
• Strategic and proactive approach with high levels of integrity and professionalism
