Description
Our client, a leading provider of Fund Administration, Private Client, and Corporate Services, is seeking an Assistant Company Secretary for a 6-month contract. This role supports the Group Company Secretary in ensuring adherence to regulatory and statutory requirements across multiple jurisdictions while maintaining effective corporate governance.
Key responsibilities:
• Maintain and provide corporate due diligence (CDD) and structure charts for the Group.
• Oversee statutory registers and filings for Guernsey-based companies.
• Support Board and Committee meetings, including agenda preparation, minute-taking, and follow-ups on action points.
• Manage the corporate calendar of events for the Group and its operating companies.
• Assist in corporate transactions such as mergers, acquisitions, and restructuring.
• Ensure compliance with corporate policies, governance standards, and regulatory expectations.
• Handle statutory submissions and oversee filing requirements for all group companies.
• Support board evaluations and governance assessments.
• Assist with director inductions and ensure smooth communication between Boards, Committees, and senior management.
The successful candidate will have:
• A relevant qualification, such as ICSA Chartered Governance Professional (CGP) or an equivalent certification.
• Previous experience in a similar role within Financial Services.
• Strong knowledge of company secretarial practices and Guernsey Company Law; knowledge of other jurisdictions is an advantage.
• Understanding of regulatory requirements for licensed administrators.
• Excellent IT skills, including proficiency in Microsoft Outlook, Word, Excel, and board papers compilation systems.
• Strong communication skills, with the ability to manage internal and external stakeholder relationships effectively.
